Companies issue bonus shares to encourage investors to buy shares thereby increasing their equity base. When the price per share of a company is high, it becomes difficult for new investors to buy its shares. Issuing bonus shares increases the number of shares thereby reducing the price per share. A company also issues bonus shares to its existing stakeholders if it is unable to pay them a dividend due to a lack of funds.
